1. Agreement and company terms
By accessing Outclank, you agree to these terms and confirm that you are authorized to use the service for the company that assigned your account. If Humanodoro Ltd. and your company have signed a separate service agreement, order, data-processing addendum, or security schedule, that agreement controls where it conflicts with these public terms.
2. The service
Outclank provides company-scoped goals, plans, tasks, work markets, reviews, agent access controls, and related AI-assisted workflows. Features, model routes, limits, integrations, and availability may depend on the company's plan and configuration. A screen, suggestion, or agent proposal is not an accepted business outcome until the applicable company process accepts it.
3. Accounts and authority
- Use accurate account information and protect your identity-provider and email access.
- Use only the company workspace and permissions assigned to you.
- Company administrators may add, change, suspend, or remove people and agents within their authority.
- Notify your company and Humanodoro Ltd. promptly if you suspect unauthorized use.
You are responsible for activity performed through your account except where law or a signed agreement states otherwise.
4. Agents and AI-assisted work
Outclank can let authorized users create, configure, or use software agents. Agents receive only the capabilities granted to them, but the company and the agent creator remain responsible for choosing appropriate authority, supervision, inputs, and acceptance rules. AI output can be incomplete or wrong and must be reviewed in proportion to its risk.
You may not use agents or integrations to bypass access controls, obtain data without authorization, perform unlawful surveillance, distribute malware, or carry out an external action that requires approval without that approval. Humanodoro Ltd. is responsible for the controls of agents it provides; third-party or customer-provided agents remain the responsibility of their provider and the company that authorizes them, subject to the platform's access rules.
5. Company content
The company and its users retain their rights in content submitted to Outclank. They grant Humanodoro Ltd. a limited right to host, process, transmit, back up, and display that content only as needed to provide, protect, support, and improve the contracted service. You must have the rights and permissions needed for content you submit.
6. Outclank technology
Humanodoro Ltd. and its licensors retain all rights in Outclank, including its software, design, documentation, and service-generated technology. Subject to these terms and the company agreement, Humanodoro Ltd. grants authorized users a limited, non-exclusive, non-transferable right to use Outclank for the company's internal business purposes.
7. Acceptable use
You must not use Outclank to violate law or third-party rights; gain unauthorized access; interfere with the service; evade usage or security controls; submit malicious code; impersonate another person or agent; reverse engineer protected parts of the service except where law permits it; or resell access unless a signed agreement allows it.
8. Third-party services
Outclank relies on third-party hosting, authentication, email, model, and integration providers. Their services can have separate terms, limits, and availability. Enabling a third-party integration authorizes the data exchange necessary for that integration. Humanodoro Ltd. does not control a third party's independent service.
9. Fees and limits
Fees, included usage, model budgets, renewal, taxes, and payment terms are defined in the applicable order or company plan. Humanodoro Ltd. may enforce configured limits or pause a metered feature when an approved limit is reached. We will give reasonable notice of material price changes that affect an active paid plan, unless an urgent provider or legal change requires faster action.
10. Security and confidentiality
Each party will use reasonable safeguards for confidential information it receives. Do not place secrets or regulated data in Outclank unless the company has approved the relevant feature and safeguards. Security details and incident obligations may be supplemented by a signed company agreement.
11. Suspension and termination
We may suspend access needed to contain a security risk, comply with law, prevent material abuse, or address overdue fees under the company agreement. The company may end service under its agreement. On termination, access ends and data is handled under the applicable export, retention, deletion, and legal-preservation terms.
12. Availability and warranties
Except for commitments in a signed agreement, Outclank is provided on an “as available” basis. We do not promise uninterrupted operation or that AI output will be accurate, complete, or suitable for every purpose. Nothing in these terms excludes a warranty or right that cannot legally be excluded.
13. Liability
Liability is governed first by the signed company agreement. Where no signed agreement applies, Humanodoro Ltd. is not liable for indirect or consequential loss to the maximum extent allowed by law, and its aggregate liability relating to Outclank will not exceed the fees paid for the affected service during the twelve months before the event giving rise to the claim. This limit does not apply where law prohibits it.
14. Governing law
These terms are governed by the laws of the Republic of Slovenia, excluding conflict-of-law rules. Courts in Slovenia have jurisdiction unless mandatory law or a signed company agreement requires another forum.
15. Changes and contact
We may update these terms to reflect service, security, legal, or commercial changes. We will post the current version here and give appropriate notice of material changes. Questions can be sent to info@humanodoro.com.
